PARTNER ADVERTISING AGREEMENT (PUBLIC OFFER)
COPYBANNER LIMITED (UNITED KINGDOM)

1. General Provisions

1.1. Parties of the Agreement
COPYBANNER LIMITED, a company registered under the laws of the United Kingdom
(Company Number 16817772, address: 85 Tottenham Ct Rd, London W1T 4TQ, United Kingdom),
hereinafter referred to as the “Company”, publishes this public offer addressed to any individual
or legal entity accepting its terms (the “Partner”, “Advertiser”, or “User”).

1.2. Legal Nature of the Agreement
This document is a public offer. Acceptance occurs upon registration on the CopyBanner platform,
uploading advertising materials, funding an advertising balance, activating campaigns, or receiving
any services from the platform.

1.3. Governing Law
This Agreement is governed exclusively by the laws of the United Kingdom. Any disputes shall be
resolved by the courts of England and Wales.

1.4. Territory
This Agreement applies to all Partners worldwide.

1.5. Platform Status
CopyBanner is a technological platform that provides:
— tools for uploading advertising banners;
— mechanisms for automated distribution of ads across video creators’ content;
— analytics and performance reports;
— automated billing and impression tracking.

The Company is not an employer, contractor, or tax agent of the Partner.

2. Subject of the Agreement

2.1. The Company provides technical solutions enabling the Partner to launch and manage advertising
campaigns within the CopyBanner ecosystem. This includes:
— banner upload and storage;
— campaign configuration and budgeting;
— automated placements within Creators’ videos;
— real-time analytics and statistics.

2.2. The Partner submits advertising materials and pays for impressions delivered through the platform.

2.3. The Company acts as an intermediary between the Partner and video creators.

3. Responsibilities of the Partner (Advertiser)

The Partner agrees to:
— provide accurate, legal, non-misleading advertising materials;
— ensure compliance with CopyBanner’s Moderation Policy, Anti-Fraud Policy, and Payment Policy;
— not upload prohibited content (violence, adult content, hate speech, political propaganda,
financial scams, explicit medical claims, etc.);
— not attempt to manipulate impression statistics or interfere with platform mechanics;
— provide only truthful information about brand, product, or service.

4. Rights of the Partner

The Partner may:
— upload advertising materials and launch campaigns;
— top up advertising balance;
— access full analytics and reporting;
— adjust budgets and pause/resume campaigns;
— contact support for technical questions.

5. Payments and Billing

5.1. Payment Model
Payments are based on CPM (cost per 1,000 verified impressions).

5.2. Funding the Balance
The Partner adds funds to the advertising balance using available payment methods.
Funds become available immediately after confirmation.

5.3. Spending Logic
Campaigns deduct balances proportionally to delivered impressions.

5.4. Commissions
The Company may apply up to 8% combined commission to cover:
— payment gateway fees,
— blockchain fees (if applicable),
— referral program rewards.

5.5. Refunds
Refunds are issued only for unused balances and only if campaigns show no activity.
Fraudulent or policy-violating campaigns are not eligible for refunds.

6. Liability

6.1. The Partner is responsible for:
— legality of advertising materials,
— accuracy of claims,
— respecting intellectual property rights of third parties.

6.2. The Company reserves the right to:
— remove or reject banners,
— suspend or disable advertising campaigns,
— block accounts in case of violations,
— freeze or revoke balances gained through fraudulent actions.

6.3. The Company is not responsible for:
— actions of video creators or third-party platforms,
— technical failures beyond its control,
— indirect damages or lost profits.

7. Termination of the Agreement

7.1. The Partner may stop using the platform at any time.

7.2. The Company may terminate this Agreement and restrict access if:
— fraud is detected,
— prohibited content is uploaded,
— inaccurate or misleading data is provided.

7.3. Remaining balances may be revoked if violations are confirmed.

8. Final Provisions

8.1. The Company may update this Agreement unilaterally.
8.2. Acceptance of the Agreement implies acceptance of all related documents:

— Anti-Fraud Policy,
— Payment Policy,
