CREATOR AGREEMENT (PUBLIC OFFER)
COPYBANNER LIMITED (UNITED KINGDOM)

1. General Provisions

1.1. Parties of the Agreement
COPYBANNER LIMITED, a company registered under the laws of the United Kingdom (Company Number 16817772, address: 85 Tottenham Ct Rd, London W1T 4TQ, United Kingdom), hereinafter referred to as the “Company”, publishes this public offer addressed to any individual or legal entity accepting its terms (hereinafter — the “Creator”, “User”).

1.2. Legal Nature of the Agreement
This document constitutes a public offer. Acceptance occurs upon registration, uploading content, participation in monetization, or receipt of rewards.

1.3. Governing Law
This Agreement is governed exclusively by the laws of the United Kingdom. All disputes are subject to the jurisdiction of the courts of England and Wales.

1.4. Territory
This Agreement applies to all users worldwide.

1.5. Platform Status
CopyBanner is a technological platform enabling the integration of advertising banners into video content. The Company is not an employer, contractor, or tax agent of the Creator.

2. Subject of the Agreement

2.1. The Company provides tools, banners, technological infrastructure, analytics, and automated reward distribution.
2.2. The Creator produces and publishes videos with CopyBanner banners, following the platform rules.
2.3. The Company acts as an intermediary and monetization operator.

3. Creator Obligations

The Creator agrees to:
— produce and publish videos with CopyBanner banners;
— ensure banner visibility for at least 3 seconds;
— upload genuine, non-fraudulent content;
— avoid bot traffic, artificial inflation, fraud, or manipulation;
— follow the Moderation Policy, Anti-Fraud Policy, and Payment Policy.

4. Creator Rights

The Creator may:
— receive rewards for verified views;
— use platform tools and analytics;
— participate in the referral program;
— delete their account or stop participation at any time.

5. Rewards and Payouts

5.1. Rewards follow the CPM model (cost per 1,000 verified views).
5.2. Payments are issued weekly in USDT (TRC-20).
5.3. Minimum threshold, timing, and payout methods are determined by the Platform.
5.4. CopyBanner may withhold up to 8% cumulative commissions.

6. Liability

6.1. The Creator is responsible for legality and originality of their content.
6.2. The Company reserves the right to:
— remove or reject content;
— suspend payouts in cases of fraud;
— block accounts for violations;
— revoke fraudulent earnings.

7. Termination

7.1. The Creator may terminate participation at any time.
7.2. The Company may terminate the Agreement in cases of fraud, violations, or provision of false information.
7.3. Unclaimed funds may be written off in case of violations.

8. Final Provisions

8.1. The Company may amend this Agreement unilaterally.
8.2. Acceptance signifies agreement with the Privacy Policy, Moderation Policy, Payment Policy, and Anti-Fraud Policy.
